Last Tuesday the Australian Competition Tribunal published its decision on the review of Telstra and TPG’s application to share radio spectrum. In 2022, Telstra and TPG tried to form a Multi-Operator Core Network (MOCN).
Telstra

Multi-Operator Core Network (MOCN)
A MOCN is a network architecture that enables multiple mobile network operators (MNOs) to share a common core network infrastructure while maintaining their individual identities and services. It allows MNOs to collaborate and pool their resources, such as network equipment and infrastructure, to achieve operational efficiencies and cost savings.
Through MOCN, each operator can retain control over their subscriber management, authentication, and service delivery while sharing common elements like the core network and certain network functions. This architecture promotes interoperability among operators, facilitates efficient resource utilisation, and enhances the overall quality and availability of mobile services for end-users.
The two companies, Telstra and TPG, formed three agreements: the MOCN, a Mobile Transition Agreement, and a Spectrum Authorisation Agreement. The agreements were for Telstra to provide 4G and 5G services to TPG, through Telstra’s infrastructure. As part of the agreements, TPG would allow Telstra to install their own equipment on some of TPG’s mobile towers. TPG would then decommission the remainder of its own infrastructure and solely use Telstra’s equipment.
5G Mobile Technology
5G mobile technology is the latest generation of wireless telecommunications technology that offers significantly faster speeds, lower latency, and enhanced capacity compared to its predecessors. Since the radio spectrum for the 4G and 5G networks are licensed, TPG would also handover their spectrum rights to Telstra. After the implementation, both companies would continue to compete on pricing, data, and other retail inclusions. Before proceeding, Telstra and TPG applied to the Australian Competition and Consumer Commission (ACCC) for authorisation to share their radio spectrum.
A third company, Optus, opposed the the Telstra and TPG agreements suggesting this will increase Telstra’s market power, and lessen competition. The ACCC declined Telstra and TPG’s authorisation, so Telstra and TPG applied for the Australian Competition Tribunal to review the decision.
Singtel Optus Pty Ltd

Australian Competition Tribunal
The Australian Competition Tribunal, established in 1996, is an administrative tribunal responsible for adjudicating competition law matters such as reviewing decisions made by the ACCC. It provides an independent forum for reviewing and assessing competition-related cases.
One of the primary functions of the tribunal is to hear and determine applications for authorisations and notifications of mergers and acquisitions. It considers whether these transactions would result in a substantial lessening of competition and determines their compatibility with competition laws.
The tribunal’s decisions are based on careful examination and analysis of evidence presented by the parties involved. It follows a fair and transparent process, allowing interested parties to present their arguments and evidence.
In addition to merger authorisations, the Australian Competition Tribunal also hears matters related to access to essential services, such as telecommunications infrastructure. It assesses access disputes and determines the terms and conditions for accessing these services.
The tribunal’s decisions are subject to judicial review by the Federal Court of Australia, providing an additional layer of oversight and ensuring the fairness and legality of its rulings. The Australian Competition Tribunal operates independently from the ACCC and other regulatory bodies. It functions as a separate entity, enabling it to make impartial decisions based on the merits of each case.
The Tribunal upheld the ACCC’s decision, finding that the agreements would substantially increase Telstra’s market power, with little increase to TPG’s market power. Further, they found that the agreement would reduce incentives to invest in network infrastructure. They fear that Optus would not invest in sufficient infrastructure to improve the quality of their network. This loss in quality would be felt the most by each company’s customers.
